Terms of Service &
Legal Framework

Last Updated: January 2026. These Terms of Service govern all software engineering, mobile development, web development, workflow automation, AI system integrations, and CRM implementation engagements with Zelvariq Technologies Inc.

Guaranteed Code Ownership: All custom source code, documentation, schemas, and deployed software belong 100% to the client upon milestone settlement.

1. Engagement Scope & Sprint Deliverables

Zelvariq operates on milestone-based agile sprints. Each engagement is outlined in a formal Statement of Work (SOW) specifying deliverables, acceptance criteria, timeline, and associated sprint fees.

Sprint reviews and staging demos are conducted at agreed milestones.
Deliverables are tested against production criteria prior to final handoff.
Scope changes are formally documented in writing via mutual change orders.

2. Complete Intellectual Property (IP) Assignment

Upon payment of agreed fees:

Client IP: Client owns all rights, title, copyright, and interest in and to the custom software, mobile app code, custom AI models/prompts, and database architectures developed specifically for client.
Third-Party & Open Source: Any third-party libraries (e.g. React, Next.js, Flutter) are licensed under their respective open-source licenses (e.g. MIT, Apache 2.0).
No Vendor Lock-in: Repositories are transferred directly to client GitHub / GitLab / AWS accounts with full administrative privileges.

3. Strict Confidentiality & Mutual NDA

Both parties agree to treat all business information, source code, financial details, customer lists, and strategic roadmaps as confidential. Confidential Information shall not be disclosed to any third party without prior written consent. Mutual NDAs are executed prior to sharing codebase or credential access.

4. 30-Day Hypercare Warranty & Maintenance

All custom production deliverables include a 30-day post-launch warranty period during which Zelvariq will resolve any verified bugs or code discrepancies from agreed specifications at zero additional charge. Ongoing SLA maintenance and round-the-clock monitoring are available via separate monthly SLA agreements.

5. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages. In no event shall total liability exceed the aggregate fees paid by client under the applicable Statement of Work in the 6 months preceding the claim.
